1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the Nordax AI platform, website, and services operated by Northern Axis, LLC DBA Nordax Digital (“Company,” “we,” “our”). By creating an account or using our services, you agree to be bound by these Terms.

2. Description of Services

Nordax AI provides a structured entity identity platform that enables users to create, manage, and publish machine-readable entity profiles. Our services include:

• Entity profile creation and management
• AI visibility scoring and analytics
• Structured data generation (Schema.org, JSON-LD)
• Public entity network and directory
• Enterprise multi-location management
• API access for programmatic entity management

3. Account Registration

You must create an account to access most features. You agree to provide accurate information and keep your credentials secure. You are responsible for all activity under your account. You must be at least 16 years old to use our services.

4. Subscription Plans & Billing

4.1 Free Tier

Free accounts include one entity profile with basic features. No payment required.

4.2 Paid Subscriptions

Paid plans (Basic, Verified, Authority, Enterprise) are billed monthly or annually through Stripe. Prices are listed on our pricing page and may change with 30 days' notice. Annual plans are billed upfront and are non-refundable.

4.3 Gold Tier

Gold verification is not a purchasable subscription. It is applied to entities whose digital infrastructure is built and maintained by Nordax Digital. Gold status is at Nordax Digital's sole discretion.

4.4 Cancellation

You may cancel your subscription at any time. Access continues through the end of the current billing period. Unpublished entity profiles will be retained for 90 days after cancellation, then permanently deleted.

5. Entity Profiles & Content

5.1 Your Content

You retain ownership of the information you submit for entity profiles. By publishing an entity profile, you grant us a worldwide, non-exclusive, royalty-free license to display, distribute, and make that information available through our platform, APIs, and structured data feeds.

5.2 Accuracy Requirements

Entity profiles must represent real entities accurately. You must have the authority to create a profile for the entity. You agree not to submit false, misleading, or deceptive information.

5.3 Unclaimed Profiles

Our network may include profiles for entities created from publicly available business data. These profiles are marked as “unclaimed” and can be claimed by the authorized representative of the entity. We reserve the right to create, modify, or remove unclaimed profiles.

6. Acceptable Use

You agree not to:

• Create profiles for entities you do not represent or have authority over
• Submit false, deceptive, or misleading information
• Use the platform for spam, phishing, or other malicious activities
• Scrape, harvest, or bulk-extract data from the platform without authorization
• Attempt to circumvent rate limits, security measures, or access controls
• Interfere with the platform's operations or other users' access
• Violate any applicable laws or third-party rights
• Impersonate another entity, person, or organization

7. Verification Levels

Entity profiles may carry different verification levels (Free, Basic, Verified, Authority, Gold). These levels reflect the extent of data validation and infrastructure verification. Higher verification levels are not a guarantee of the entity's quality, reliability, or fitness for any particular purpose.

8. API Usage

API access is available on select plans with rate limits as described in our documentation. API keys are confidential and must not be shared. We may suspend API access if usage exceeds limits or violates these Terms.

9. Intellectual Property

The Nordax AI platform, including our software, design, branding, algorithms, and documentation, is the property of Northern Axis, LLC DBA Nordax Digital and is protected by intellectual property laws. You may not copy, modify, or distribute our platform without written permission.

10. Disclaimers

Our services are provided “as is” and “as available.” We make no warranties regarding the availability, accuracy, or reliability of our platform. AI visibility scores are estimates based on our proprietary algorithms and do not guarantee any specific outcome in AI systems or search engines.

11. Limitation of Liability

To the maximum extent permitted by law, Northern Axis, LLC DBA Nordax Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data, or business opportunities, arising from your use of our services. Our total liability is limited to the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Northern Axis, LLC DBA Nordax Digital and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services, your content, or your violation of these Terms.

13. Modifications to Terms

We may update these Terms from time to time. We will provide notice of material changes via email or platform notification at least 30 days before they take effect. Continued use of our services constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Georgia.
